Main purpose of the job

To support this growth the business is in need of a Corporate Counsel in the UK to assist in fulfilling the corporate and commercial needs of the company. In the position, you will report to the General Counsel who is based in the US. The position is primarily remote but you may be required to come in to the Guildford HQ from time to time.

As a member of the in-house legal team, you will be expected to support the sales, procurement and marketing operations by reviewing and negotiating supplier and customer contracts with a heavy emphasis on complex software licence agreements. You will also participate in overseeing and managing company secretarial duties. You will advise and support the HR function to assist with employee hiring, retention and termination issues. You will also be expected to participate in company intellectual property protection and management efforts and liaise with our outside IP attorneys. You will be expected to have or develop a strong knowledge of relevant data protection and privacy regulations relating to PCI DSS and GDPR.

This is a very important role for the company and you will be an integral part of the commercial decision-making and risk management of the business. You will regularly interact with key stakeholders in the business and be expected to provide timely legal advice on a myriad of issues affecting the business. You will be required to effectively balance the demands of the business and of others in the company.

Key Responsibilities

    • Work closely with the sales team to close customer and partner deals, including quickly turning around NDAs, Licence Agreements, Order Forms, SOWs and DPAs; and assisting in RfP processes.
    • Ensure that company precedent agreements are up to date, relevant to the business and legally compliant.
    • Work with the General Counsel on a broad range of legal compliance matters including PCI DSS, GDPR and other data privacy regulations in different international jurisdictions.
    • Assist the General Counsel in handling company secretarial matters such as board and shareholder resolutions and director consents.
    • Actively participate in the company’s IP management program including regular communications with outside patent and trademark counsel in multiple jurisdictions.
    • Manage external legal counsel when necessary.
    • Provide timely advice to support the human resources team in the UK.
    • Participate with the General Counsel in IP enforcement and protection matters including assisting in the management of ongoing patent litigation.
    • Review, revise and negotiate supplier and vendor agreements.
    • Draft and prepare legal documents, letters, contracts, confidentiality agreements tailored to the needs of the business.

Key qualifications, skills, experience

    • Licensed to practice law in the UK.
    • At least four years post-qualification legal experience (preferably working with technology companies).
    • Experience representing companies in a wide range of commercial matters.
    • Ability to think quickly and respond to enquiries expeditiously and accurately.
    • Great judgment, common sense, commercial acumen and attention to detail.
    • Ability to work well under pressure and cooperatively with colleagues.
    • Ability to convey complex legal advice in a manner that is easily absorbed and understood by your audience.
    • Comfortable engaging with staff at all levels of the company including the CEO and fellow members of the executive team.
